Partnership Terms & Conditions

1. Scope

These terms provide a general framework for relationships between Floyd Travels and approved travel-industry partners, including DMCs, tour operators, cruise partners, airlines, hotels, resorts, villas, attractions, and entertainment providers.

2. No Automatic Partnership

An inquiry, referral, meeting, or exchange of information does not create employment, a joint venture, agency, franchise, fiduciary relationship, exclusivity, or binding partnership unless a separate written agreement is signed.

3. Commercial Terms

Commission, net rates, overrides, referral payments, service fees, markups, minimum sales requirements, eligible booking value, and payment timing must be agreed in writing.

4. Booking Ownership and Client Service

The parties should identify who controls the booking record, payment collection, traveler communication, changes, emergencies, refunds, cancellations, and complaints.

5. Independent Businesses

Each party remains an independent business responsible for its own registrations, taxes, licensing, insurance, employees, contractors, and legal compliance.

6. Supplier Accuracy

Partners are responsible for current and accurate rates, availability, restrictions, cancellation policies, inclusions, exclusions, taxes, fees, and operational information.

7. Commissions and Payment

Unless otherwise agreed in writing, commissions are earned only on eligible, completed, paid travel and may be adjusted for cancellations, refunds, chargebacks, and non-commissionable components.

8. Advisor Referrals

If Floyd Travels introduces advisors or agencies to a partner, any override, referral commission, non-circumvention protection, or tracking method must be documented in writing.

9. Brand and Intellectual Property

Neither party may use the other party’s trademarks, logos, images, testimonials, client data, or proprietary materials outside the agreed purpose without authorization.

10. Confidentiality

Non-public pricing, client information, advisor lists, supplier terms, and proprietary business information should be treated as confidential.

11. Non-Exclusivity

Unless agreed otherwise in writing, each party may work with other travel businesses, suppliers, advisors, and partners.

12. Professional Conduct

Partners agree to conduct business lawfully and professionally and not make unauthorized, false, misleading, discriminatory, or deceptive claims on behalf of Floyd Travels.

13. Termination

Either party may discontinue an informal relationship unless a signed agreement provides specific termination terms. Existing bookings and outstanding financial obligations remain subject to their applicable terms.

14. Liability and Insurance

Each party is responsible for its own acts, omissions, employees, contractors, and services. Appropriate insurance should be maintained where relevant.

15. Governing Agreement

If these website terms conflict with a later signed agreement, the signed agreement controls to the extent of the conflict.
